Item7.01 Regulation FD Disclosure.
On December 22, 2020, Cognyte Software Ltd. ("Cognyte"), currently a wholly owned subsidiary of Verint Systems Inc. (the "Company"), publicly filed its registration statement on Form 20-F with the U.S. Securities and Exchange Commission (the "SEC") for the previously announced spin-off of the Company's Cyber Intelligence Solutions business into Cognyte, which will be an independent, publicly traded company.

The Form 20-F filing provides detailed information regarding Cognyte's business, strategy and historical financial results. It is available at www.sec.gov under "Cognyte". Additional information can be accessed at the Investor Relations section of Cognyte's website at www.cognyte.com.

The Form 20-F will be updated in subsequent amendments with additional information regarding the spin-off as that information is finalized.
