ITEM 3.01 NOTICE OF DELISTING OR FAILURE TO SATISFY A CONTINUED LISTING RULE OR STANDARD; TRANSFER OF LISTING. On August 18, 2006, Verint Systems Inc. (the "Company") issued a press release announcing that it received a letter from the NASDAQ Stock Market informing the Company that the NASDAQ Listing Qualifications Panel had granted the Company an additional extension for continued listing on the NASDAQ Stock Market, subject to the Company filing by September 25, 2006 its Annual Report on Form 10-K for the fiscal year ended January 31, 2006 its Quarterly Report on Form 10-Q for the fiscal quarter ended April 30, 2006, and the Current Report on Form 8-K/A to amend the Form 8-K dated January 9, 2006. In the event the Company is unable to meet this deadline and in the absence of a stay of the Panel's decision, the Company expects that its securities will be delisted from the NASDAQ Stock Market.                   VERINT RECEIVES FILING EXTENSION FROM NASDAQ


MELVILLE, NY, AUGUST 18, 2006 - VERINT SYSTEMS INC. (NASDAQ: VRNT), a leading
provider of analytic software-based solutions for security and business
intelligence, today received a letter from the NASDAQ Stock Market informing the
Company that the NASDAQ Listing Qualifications Panel had granted the Company an
