Item 8.01. Other Events
On February 4, 2010, Verint Systems Inc. (the Company) issued a press release announcing that its wholly owned subsidiary, Verint Americas Inc., had acquired all of the outstanding share capital of Iontas Limited, a privately-held provider of desktop analytics solutions. Verint acquired Iontas for approximately $14.8 million in cash (net of cash and net assets acquired) and potential additional earn-out payments tied to certain targets being achieved over a two-year period.
Realization of the benefits the Company expects to derive from the acquisition depends, in part, on the integration of Iontas with the Company and there can be no assurance that the Company will realize such benefits.

Verint Systems Expands Workforce Optimization Suite with Acquisition of Iontas
Desktop Analytics Solutions Measure Application Usage and Analyze Workflows, Improving Staff Performance in Contact Centers, Branches and Back Offices
MELVILLE, N.Y., February 4, 2010 Verint® Systems Inc. today announced the acquisition of Iontas, a privately-held provider of desktop analytics solutions. Iontas solutions measure application usage and analyze workflows to help improve staff performance in contact center, branch and back-office operations environments. Iontas desktop analytics solutions will be tightly integrated into Verints Impact 360® Workforce Optimization suite.
The acquisition of Iontas adds additional innovative analytical capabilities to our workforce optimization suite and strengthens our market leadership position, says Elan Moriah, president, Verint® Witness Actionable Solutions® and Verint® Video Intelligence Solutions. Verint has been working with Iontas for several years, closely watching the emergence of desktop analytics. Weve already had customer successes together in the market, and are seeing demand for desktop analytics in both the contact center and the broader enterprise.
